Terms of use

The website located at http://www.crosscreators.com/ (the"Site") is a copyrighted work belonging to registered company CrossCreators ("CrossCreator", "us", and "we"). Certain features of the Services or Site may be subject to additional guidelines, terms, or rules, which will be posted on the Service or Site in connection with such features. To the extent such terms, guidelines, and rules conflict with these terms of use, these terms of use shall govern.

These terms of use ("Agreement") set for the legally binding terms for your use of the Site and Services (whether as a Brand or as a Creator). By registering for Services, you are accepting this Agreement and you represent and warrant that you have the right, authority, and capacity to enter into this Agreement. You may not access or use the Site or Services if you are not at least 18 years old. If you do not agree with all of the provisions of this Agreement, you cannot use the Services.

1. Service

1.1 General

CrossCreator provides an online platform that helps connect and support customers who wish to collaborate and get ar projects on demand ("Brands") and Creators who wish to provide such contents("Creators"), including, for example, through Contests, one2one projects, or marketplace. "User" means any user of the Site or Service, and may be a Creator or a Customer. "Sold Concept" means the applicable winning AR Concept (as defined in Section 1.2(a) below), purchased Contest Template (and any customized version thereof), or the Contest sold under the Project Service."Sale" means the applicable sale. "IPR" means all trade secrets, copyrights, trademarks, mask work rights, patents and other intellectual property rights recognized by the laws of any country.

1.2 AR Contest

rights, patents and other intellectual property rights recognized by the laws of any country. (a) Customers may create a contest ("Contests") by creating a project brief ("project Brief"), paying the Customer Payment (as defined in Section 3.1 below) to CrossCreators and following the other instructions on the Site. The Design Brief must clearly specify the requirements for the Contest, such that Creators clearly know the rules and criteria on which their Design Concepts will be judged. There are currently two types of Design Contests: (1) the default Pre-Paid Contest and (2) the Guaranteed Contest. Creators invited by CrossCreator (in CrossCreator sole discretion) to enter a Design Contest may submit AR concepts ("AR Concepts") in the format specified by CrossCreators by following the instructions on the Site. Design Concepts must comply with the Design Brief.

(c) For Pre-Paid Contests, Brands must select one or more winning AR Concepts by the time the Pre-Paid Contest closes. Customers may withdraw Pre-Paid Contest (but not a Guaranteed Contest) for a refund of the Brand Payment before entering the final round and before the close of the Pre-Paid Contest. Customer may additionally seek a refund of the Customer Payment for a Pre-Paid Contest (but not a Guaranteed Contest) at any time up to 60 days after the date of payment for the Pre-Paid Contest, but only if finalists were not chosen by Customer.(d) For the avoidance of doubt, Brand has no right or license to use any contests Concepts other than the Sold Project. Customer may not: (a) run a Contest if Brand is tendering the creation of the same design through a service other than the Site (this clause (a) does not apply to customers located in the European Economic Area ("EEA"); (b) allow or request Creators to submit AR Concepts to Brands via any means other than via the Site and (c) collude in relation to the awarding of a winner in a AR Contest or awarding a separate account held by Brand as the successful Creator in a AR Contest. Brands and Creators must deal on an arm’s length basis and Brand may not cancel any Design Contest for the purpose of contracting separately with a Creator who Customer meets through the Site which results in Customer avoiding paying CrossCreator any Customer Payment or any fees and charges of CrossCreator. (e) Some jurisdictions provide Customer certain mandatory statutory rights (e.g., right to supplementary performance (e.g., rectification or replacement), right for a refund, right to withdrawal, right to reduce the price and right to damages in case the Design Concepts are defective) (collectively,"Mandatory Statutory Rights") which remain unaffected.

1.3 Project Service

(a) Customers and Creators can work with each other on design projects by creating a 1-to-1 project ("Project Service") and following the directions on the Site. Creator can create quotes for Customers. CrossCreator will invoice Customer based on Creator's quote plus platform and other applicable fees. Customer can pay CrossCreator invoices and reserve the right to accept designs before they are considered Sold Designs. If designs have not been accepted by Customer, Customer may request a refund of the Customer Payment from CrossCreators, at any time up to 60 days after the date of invoice payment, or 10 days after delivery of Designs, whichever happens sooner. In addition to the foregoing, customers located in the EEA may request a refund of the Customer Payment, at any time up to one year starting with the accrual of the claim. After the Creator has delivered the designs, Customer will be deemed to have accepted the designs unless Customer provides notice of rejection to CrossCreator and Creator within 10 days of delivery of the designs. If the cause for the notice of rejection is not cured within 30 days of a rejection notice, CrossCreator will refund the Customer Payment and Customer will have no right to use the resulting design in any way. CrossCreator reserves the right in its sole discretion to restrict Customers or Creators from creating projects using Project Services and to remove projects. CrossCreator has no involvement in managing or providing the design to Customer and is simply providing the ability for Creator to store files for, work with Customers, and for Customers to request services from, view designs, provide feedback on projects and pay CrossCreator, using Project Services. (b) Some jurisdictions provide Customer certain Mandatory Statutory Rights (defined in Section 1.2(e) above) which remain unaffected.

1.4 Partner Integrations

CrossCreators may partner with third party websites and platforms that wish to integrate with CrossCreators to enable Customers to identify potential providers of design or other services and connect with Creators on the CrossCreators platform and to work with each other on design projects (each such integration being a "Partner Integration"). Customers who choose to acquire designs or other services from Creators through a Partner Integration will be subject to these Terms of Use in respect of any design services acquired and must sign up for an account on the CrossCreator platform. Creators acknowledge and agree that CrossCreator may make their information available to our third party partners who may make the information available on their own sites for the purpose of such Partner Integrations.

CrossCreators will host content created by different creators. The customer has the opportunity to select the desired content and pay the amount indicated on it. Both exclusive and multiple products will be placed on the marketplace. Explosive means that only its purchaser is authorized to use the mentioned products exclusively, and in multiple cases it can be purchased and used by more than one person.

2. Design Transfer Agreement

The Design Transfer Agreement, available at http:/Crosscreators.com/legal/design-transfer-agreement, sets forth the legally binding terms between the applicable Creator and Brand for the sale of a Sold project through the AR Contest. The project Transfer Agreement, available athttp://CrossCreators.com/projects/design-transfer-agreement , sets forth the legally binding terms between the applicable Creator and Customer for the sale of a Sold Design through the Project Service.

3. Payment Terms

The following terms apply to Brands who have purchased a Sold content and Creators who have sold an AR project.

3.1 Brand (Customer) Payment

The "Customer Payment" means (i) the price selected by Customer when Customer created a Contest as set forth at http://CrossCreators.com/pricing ; or (ii) CrossCreators invoiced price for the Sold project issued through the Project Service by Creator to Customer.

When purchasing products on the site, the amount paid by the buyer will be temporarily placed in the account of our partner company. Once the Contractor has fully fulfilled the obligation, the service fee is accrued to the Contractor (excluding the Site Fee, which may vary for different services)

Commission fee is 15% on each transaction.

3.2 Refunds

CrossCreators will make refunds of the Customer Payment to Customer using the same payment methods that Customer used to make the Customer Payment to CrossCreators or via any other method specified by CrossCreator from time to time. If a refund is paid to Customer or a credit card charge back occurs, then: (a) Creator must reimburse CrossCreators for the applicable Creator Fee (the reimbursement will first be paid out of any CrossCreators Credits held by Creator and any remaining debt will be payable by Creator to CrossCreator on demand) and (b) Customer will initially receive the amount of the Customer Payment, less the Creator Fee and will receive the Creator Fee only once the Creator Fee is reimbursed by Creator to CrossCreators. CrossCreators may refund Customers for the following reasons: (i) the Sold project is Defective; (ii) CrossCreators is required by law or considers that it is required by law to do so; (iii) CrossCreators determines that issuing a refund to Customer will avoid any dispute or increased costs to CrossCreators; (iv) CrossCreators issues the refund to Customer in accordance with any refund policy specified by CrossCreators from time to time; (v) the order placed (or request made) by Customer is found to be fraudulent; (vi) Customer placed a duplicate order (or request) in error; or (vii) in CrossCreators sole opinion, CrossCreators considers that it is likely that the refund is necessary to avoid a credit card chargeback. A Sold project will be deemed to be "Defective" if: (i) Customer and Creator agree it is defective and notify CrossCreators of this fact; (ii) the Sold project is subject to a third party claim that the Sold project infringes/misappropriates such party’s IPR, that is not frivolous.

3.3 CrossCreators Credits

CrossCreators pays the Creator Fee to create in the form of CrossCreators Credits. There are two types of CrossCreators Credits:

3.4 General Payment Terms

Currency Credits are convertible into the local currency based on the location of the Site. You agree that you are responsible for the collection and/or payment of all Taxes which you may be liable for in any jurisdiction arising from your sale or purchase of any Sold projects via the Site. CrossCreators is not responsible for collecting, reporting, paying, or remitting to you any such Taxes."Taxes" means any applicable duties, sales taxes, GST, VAT or other taxes which may be levied in respect of a transaction contemplated by this Agreement
